By accessing or using The Heat Exchange (the “Platform,” “we,” “us” or “our”), including The HIMM and other ecosystem components, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Platform.

The Heat Exchange is a music-market technology ecosystem. Its products and features may include:

The HIMM (The Heat Index Music Market), the artist-market component

Artist Index Tokens (AITs) and Artist Public Offerings (APOs) within The HIMM

Market information and market-style functionality

The Heat Sheet

Pyro Predictions

HottBoxes and Fire Factions

Heat Exchange Media

HeatEX and related future utility functionality

Not all of these products and features are currently live. The current V1 application is a product demonstration and does not execute live financial transactions or deployed token functionality.

Each component of The Heat Exchange may be subject to its own rules, eligibility requirements and additional terms. Statements in these Terms about one component do not necessarily apply to every other component. Any future live functionality, including within The HIMM and Pyro Predictions, will be subject to applicable law and any additional terms published for that functionality.

AITs do not represent equity, shares or ownership in an artist.

The V1 product demonstration does not execute live financial transactions.

No financial return is promised or guaranteed.

Future functionality may be subject to additional terms, eligibility requirements and applicable law.

The Heat Exchange may include systems such as Heat Score, Territory Score and Rank, artist rankings and market-style participation features. These systems are proprietary and subject to change at any time, and do not guarantee exposure, success or outcomes for any artist or user. Within The HIMM, AIT market prices are driven by market supply and demand; Heat Score and Territory Score do not mechanically determine AIT prices.

To access certain features, users may be required to create an account. You agree to:

Provide accurate and complete information

Maintain the security of your account

Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts at our discretion.

Artists who use the Platform:

Retain full ownership of their music, likeness and intellectual property

Grant The Heat Exchange a limited, non-exclusive, royalty-free license to display and promote their content within the Platform

The Heat Exchange does not claim ownership of artist content.

The Platform may offer paid features, including but not limited to artist support mechanisms, premium features and platform participation tools. All payments:

Are final and non-refundable unless required by law

Are processed via third-party payment providers

The Heat Exchange is not responsible for payment processing errors or failures.

The Heat Exchange may integrate or reference third-party services, including digital wallets or payment providers.

Users are solely responsible for their use of third-party services.

The Heat Exchange does not custody user funds.

The Heat Exchange is not liable for losses, breaches or failures of third-party providers.

You agree not to:

Engage in illegal or fraudulent activity

Manipulate platform systems, including markets, rankings or engagement metrics

Impersonate individuals or entities

Upload content that infringes on intellectual property rights

Attempt to reverse-engineer or exploit the Platform

Violations may result in account suspension or termination.

All Platform content (excluding user and artist content), including branding, design, technology, systems and features, is owned by The Heat Exchange and protected by applicable intellectual property laws. Unauthorized use is strictly prohibited.

By submitting or posting content, you grant The Heat Exchange a non-exclusive, worldwide, royalty-free license to use, display and distribute such content within the Platform. You are responsible for ensuring your content complies with all applicable laws and rights.

The Platform is provided on an “as is” and “as available” basis. The Heat Exchange makes no guarantees regarding:

Platform availability or uptime

Accuracy of rankings or metrics

Results or outcomes for users or artists

Use of the Platform is at your own risk.

To the maximum extent permitted by law, The Heat Exchange shall not be liable for:

Indirect, incidental or consequential damages

Loss of profits, data or opportunities

Any disputes between users or artists

You agree to indemnify and hold The Heat Exchange harmless from any claims, damages or liabilities arising from:

Your use of the Platform

Your violation of these Terms

Your content or conduct

We reserve the right, at any time and without notice, to:

Suspend or terminate accounts

Remove content

Restrict access

We may update these Terms at any time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.

These Terms shall be governed by and interpreted in accordance with applicable laws in jurisdictions in which The Heat Exchange operates. The Heat Exchange reserves the right to designate the appropriate governing jurisdiction as part of its corporate and operational structure.
